SUMMARY
Imperial Systems, Inc. (“ISI” or the “Company’) offers to commercial fleet operators: commercial fleet financial services, fleet procurement, fleet customization and fleet management.
The Company’s long-term strategy is to offer and expand our financial services to Commercial Fleet Operators, including but not limited to the approximately seven thousand (7,000) courier companies, five hundred and sixty thousand (560,000) independent courier drivers and the twenty thousand (20,000) limousine operators, throughout the United States. The Company is actively pursuing acquisition candidates that can support the expansion of these products and financial services.
The Company has a strong management team with a tremendous amount of long term industry knowledge and experience. The team is led by its Chairman and Chief Executive Officer, Gary Spaniak, Jr. and Lisa Catterson, President of Imperial Body & Design. Collectively, the management team has over fifty (50) years of experience in the financial services and manufacturing industries.
HISTORY
ISI is a Florida corporation with its principal executive offices located at 1903 N. Barnes Ave., Springfield, MO. 65803. Effective March 16, 2007, ISI through its newly formed wholly owned subsidiary Imperial Body & Design, Inc. (“IBD”), acquired certain assets from Springfield Coach Industries, Inc. (“Springfield”); Imperial Fleet Financial Services, Inc. (“IFFS”) newly formed wholly owned subsidiary, acquired certain assets from Coach Financial Services, Inc. (“CFS”). IBD’s principal offices are located in Springfield, Missouri.
The acquisition, as defined above, of IBD provides ISI with manufacturing capacity in its current space of 65,000 square feet. The facility primarily produces 120” Lincoln Town cars, 130” Chrysler 300T's and Hummer H3's through the modification of the chassis into a finished luxury limousine.
This also enables us to offer an array of financial products, including financing for luxury limousines, commercial fleets and high-end automobiles as well as other financial services, such as specialty lines of insurance products. IFFS provides various leases, including commercial motor vehicle leases, equipment leases and retail installment loans to commercial customers who purchase vehicles from IBD as well as from competitors. IFFS primarily lends to small to mid-size businesses and professionals.
COMPANY ACTIVITIES
Through our subsidiaries, we offer financial services and we manufacture Commercial fleet Vehicles. We sell financial products including financing for luxury limousines, commercial fleets and automobiles.
The Company is one of nine limousine manufacturers in the limousine manufacturing industry operating under Quality Vehicle Manufacturing (QVM) agreements with Ford Motor Company (“Ford”). There are many companies in the marketplace that do not operate under the manufacturer sponsored programs, such as the QVM. Operating within the QVM agreement enables the Company to provide enhanced warranty coverage to the purchasers of our vehicles, through superior engineering design and by utilizing the resources provided by Ford. Other QVM and Non-QVM manufacturers may offer similar products to these limousine operators; however, our sales, design and engineering team have focused our products on specifications that commercial fleet operators demand.
The Company’s long-term strategy is to offer and expand our array of products, including, specialty vehicles and financial services through corporate alliances with several established commercial leasing companies to existing customers and other commercial fleet operators. |
